1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Tapito ("we," "us," or "our"), governing your access to and use of the Tapito platform, including our website, mobile applications, and restaurant operating system services.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must cease use immediately.

By accessing or using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Services

Tapito provides a comprehensive Restaurant Operating System, including features for Point of Sale (POS), voice-activated commands, inventory management, staff scheduling, and digital ordering.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for your internal business operations, subject to these Terms.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are fully responsible for all activities that occur under your account, including actions taken by your staff members.
• You agree to notify us immediately of any unauthorized access to or use of your account.

4. Subscriptions and Payments

Plans: Usage of Tapito is subject to the subscription plan you select (e.g., Starter, Pro, Enterprise). Features and limits are defined in your plan.

Billing: Subscription fees are billed in advance on a recurring basis. All payments are non-refundable unless expressly stated otherwise in writing.

Changes: We reserve the right to modify our pricing tiers with at least 30 days' prior notice to you.

Non-Payment: If we are unable to process your payment, we may suspend your access to the Services until payment is received.

6. Intellectual Property

Our IP: The Tapito platform, including its software code, AI algorithms, voice models, and visual design, remains the exclusive property of Tapito.

Your Data: You retain ownership of all data you input into the system, including menu items, customer lists, and sales data. You grant us a license to process this data solely to provide the Services.

7. Prohibited Activities

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the App.
• Use the Services for any illegal or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems.
• Use the Service to generate content that is violent, sexual, or violates any laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

IN NO EVENT SHALL TAPITO, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
• ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT.
• ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR AI-GENERATED INSIGHTS.
• BUSINESS INTERRUPTIONS, REVENUE LOSS, OR SYSTEM FAILURES.

IN NO EVENT SHALL TAPITO'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID TO TAPITO BY YOU DURING THE THREE (3) MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY; OR (B) ₹1,000 (ONE THOUSAND INDIAN RUPEES).

9. Indemnification

You agree to defend, indemnify, and hold harmless Tapito and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, by you or any person using your account and password.
• A breach of these Terms.
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any claim that your content caused damage to a third party.

10. Force Majeure

Tapito shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Tapito's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference), acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ramgarh Cantt, Jharkhand, India.
